330,000 Units of limited partnership interest (the "Units") in SECURED INCOME
L.P., a Delaware limited partnership (the "Issuer"), the subject company. The
Offer terminated on September 1, 2000. The Offer resulted in the tender by Unit
holders, and acceptance for payment by the Purchasers, of a total of 25,460
Units. Upon completion of the Offer, the Purchasers held an aggregate of
approximately 185,962 Units, or approximately 18.9% of the total outstanding
Units.
