Explanation of Responses:
(1) These stock options were granted on August 18, 1998 under the Issuer's 1998
Stock Incentive Plan (the "Plan"), subject to stockholder approval of the
Plan. The Plan was approved by the Issuer's stockholders at its annual
stockholders' meeting held on October 1, 1998. The options become
exercisable in one-third installments on each of January 1, 2000, January 1,
2001 and January 1, 2002.
