As a result of unexpected delays in gathering the data necessary to finalize
the registrant's Form 10-Q, largely due to other necessary business
commitments of certain of the registrant's officers and employees responsible
for preparing the subject report, the report on Form 10-Q could not be timely
filed without unreasonable effort or expense.

Change in results of operations:
For the first quarter of fiscal 1999 ended June 27, 1998 the Company
expects to report net sales of approximately $21,500,000 or approximately
$9,000,000 more than sales for the first quarter of 1998. The increase in
sales is primarily due to the sale of multi-media speaker systems to
Gateway.
The Company expects to report net income of approximately $2,000,000 for
the first fiscal quarter of fiscal 1999 as compared to net income of
$1,150,000 in the first fiscal quarter of 1998 largely as a result of
increased sales due to the Gateway contract.
