Explanation of Responses:
(1) On April 25, 2000, the Board of Directors of DCPI declared a 10% stock
dividend payable on June 23, 2000 to all the holders of Common Stock and Class A
Common Stock of the Company on May 25, 2000, the record date. These shares
represent the shares received by the reporting person in the dividend
distribution.
(2) Mr. La Maina disclaims beneficial ownership of all shares owned by his wife
and this report shall not be deemed an admission that the reporting person is
the beneficial owner of these shares for purposes of Section 16 or for any other
purpose.
(3) The options to purchase 200,649 shares of Common Stock are currently
exercisable.
