Management is awaiting receipt of the Company's financial
statements from the Company's accountants in order to complete
its Form 10QSB for the period ended March 31, 2000. It is
anticipated that the financial statements will be received in
time for Management to complete preparation and filing of the
Form 10-QSB for the period ended March 31, 2000 within the
time allowed by this extension.
