Conversion of Series B Common Stock into Series A Common
Stock.
Give brief description of transaction: 5,611,606 shares of
Series B Common Stock were issued on December 30, 1994
pursuant to the Issuer's Chapter 11 plan of reorganization
consummated on that date. The Series B Common Stock is
convertible into shares of Series A Common Stock on a one-to-
one ratio at any time at the option of the holder. From
April 30, 1995 to June 30, 1995, 344,707 shares of Series B
Common Stock had been converted to Series A Common Stock.
