the prescribed time period.
The Company was unable to complete and file its Annual Report on Form
10-KSB for the fiscal year ended June 30, 1999 within the prescribed time period
due to the need for the Company to determine the fair market value of its
AstroPower, Inc. stock (its principal noncash asset) and certain delays that
arose in connection with its receipt and evaluation of a report of an outside
independent appraiser in connection therewith.
