PART III - NARRATIVE

State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period:

Integrated Orthopaedics, Inc (the "Company") is in the final stages of
negotiations in respect to a material corporate transaction, the effects of
which will impact the year-end audited financial statements and related
disclosures. The Company is addressing certain accounting and reporting issues
relating to the terms of the transaction, resolution of which are necessary to
complete the financial statements. Therefore, the Company is unable to complete
the yearend financials statements within the prescribed time period.
Accordingly, the Company's filing of the Annual Report on Form 10-KSB for the
year ended December 31, 1999 is delayed.
