State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.  

     The Form 10-KSB for the year ended December 31, 1997, could not be filed
within the prescribed time period due to complexities in completing the
financial statements of the Company's subsidiaries and preparing consolidated
financial statements as a result of the Registrant's change in its fiscal
year-end from one ending September 30 to one ending December 31, as reported on
Form 8-K dated August 26, 1997.

         The earnings statement to be filed with the Form 10-KSB for the year
         ended December 31, 1997 will reflect increased losses from operations,
         as compared to the losses reported on the Form 10-KSB for the prior
         year-end of September 30, 1996. The amounts of losses for the year are
         anticipated to be in excess of the net loss from operations of
         $8,451,477 (unaudited) for the nine-months ended September 30, 1997, as
         reported on Form 10-QSB. A detailed estimate cannot be made at this
         time for the reasons set forth in response to Part III, above.

         0-3 of the General Rules and Regulations under the Act.  The
