NOTIFICATION OF LATE FILING
Part IV Other Information
(3) The registrant anticipates that the net loss to be reported for its
fiscal year ended December 31, 1997 could be significantly more than
the net loss of $516,433, reported on Form 10-KSB for the fiscal year
ended December 31, 1996. Two major factors contributing to the net loss
for 1997 were (a) the bankruptcy of Passport Music Distributors, Inc.
which was the registrant's national distributor for the sale of its
compact discs; and (b) the expenses associated with the modifications
required to the registrant's production capacity to mass produce its
patented single-use caption camera. The production modifications caused
delays in having sufficient capacity to fill orders during 1997 for the
camera. Both factors resulted in one time charges.
A reasonable estimate of the net loss for 1997 can not be made at this
time. The purpose of this Notification of Late Filing is to provide the
registrant more time to complete an accurate filing of Form 10-KSB,
particularly the effects that the fourth quarter had on the
registrant's fiscal year ended December 31, 1997.
