Item 1. Description of Proposed Transactions.
Section II. Borrowing Limitations of Item 1 of the
Application-Declaration, as previously amended and supplemented
by Post-Effective Amendment No. 6, is hereby further amended by
restating the final two paragraphs of such section to read as
follows:
"Arkansas, Louisiana and Mississippi now estimate
increased cash requirements through November 30, 1994 such that
an increase in authorized borrowings for each such company is
appropriate. In general, the increases reflect optional
redemptions and retirements of additional long-term debt and
preferred stock<FN1> and various other factors, including in the
case of Arkansas and Mississippi, unanticipated expenditures for
repairs occasioned by recent storm damage in their respective
service territories. (For further information with respect to
these estimated cash requirements, reference is made to the cash
flow estimates of Arkansas, Louisiana and Mississippi filed
herewith and referred to in part (b) of Item 6 hereof).

<FN1> In each refinancing transaction, the estimated present
value savings derived from the net difference between interest or
dividend payments on a new issue of comparable securities and
those securities redeemed and retired was or will be, on an after-
tax basis, greater than the present value of all redemption,
retirement and issuing costs, assuming an appropriate discount
rate, determined on the basis of the then estimated after-tax
cost of capital of Entergy Corporation and its subsidiaries,
consolidated.

The increase in cash requirements estimated for
Arkansas, Louisiana and Mississippi coupled with the maximum
daily borrowings historically experienced by such companies may
result in short-term borrowings which exceed the maximum amounts
currently authorized by the Commission. In view of the
foregoing, Arkansas, Louisiana and Mississippi request that the
Commission issue a supplemental order herein releasing
jurisdiction over $75 million in the case of Arkansas (increasing
the amount of authorized borrowings from $125 million to $200
million); $75 million in the case of Louisiana (increasing the
amount of authorized borrowings from $125 million to $200
million); and $13 million in the case of Mississippi (increasing
the amount of authorized borrowings from $100 million to $113
million). Arkansas and Louisiana further request that the
Commission reserve jurisdiction in the supplemental order over
additional borrowings of $55 million in the case of Arkansas and
$59 million in the case of Louisiana. The increase in short-term
borrowing authorization sought herein is intended to provide
Arkansas, Louisiana and Mississippi with flexibility to meet
their estimated cash requirements through November 30, 1994 as
well as to manage potential significant swings in cash
requirements that may occur within any given month."
Item 2. Fees, Commissions and Expenses.
Item 2 of the Application-Declaration, as previously
amended and supplemented, is hereby further supplemented to
include the following:
"There are no special or separable fees, commissions or
expenses anticipated to be incurred in connection with the
transactions contemplated by Post-Effective Amendment Nos. 6 and
7, except for legal fees estimated not to exceed $2,500."
