Adviser registered under Section 203 of the Investment Advisers
Act of 1940. A Joint Filing Agreement was executed to this effect
on February 3, 1995 and was filed as Exhibit I to the Schedule
13G filed for the Reporting Entities on February 3, 1995 which is
incorporated herein by reference.
