PART III - Narrative

N-SAR, or the transition report or portion thereof could not be filed within
the prescribed period.]

Explanation:

The 10K was prepared by the Company's printer in a Quark file. The Company did
not realize R.R. Donnelley (Cadmus) required a Word file. As a result, we had to
re-input the entire 10K into a Word file. Note, The Company's former Corporate
Secretary resigned in December 1999, and the persons involved in preparing the
1999 10K were unaware of the Word file requirement.
