State below in reasonable detail the reasons why Forms 10-K, 11-K, 10-Q, N-SAR
or the transition report portion thereof could not be filed within the
prescribed time period.
The Company has not completed the compilation of all necessary
financial data and has not had the opportunity to have the data examined in
final form by its independent accountants. Accordingly, the Company is
unable to timely file its Quarterly Report on Form 10-Q without
unreasonable effort and expense.
The Company anticipates the filing of its Report to occur no later
than Wednesday, November 19, 1997, in accordance with the extension period
specified within Rule 12b-25, section (b)(2)(ii) of the Regulations under
the Securities Exchange Act of 1934.

The following effects on operations are expected for the three-month
period ended September 30, 1997 as compared to the same period in 1996: (i)
revenues are anticipated to be approximately three and one-half times
greater; (ii) net loss is expected to be approximately one-tenth less due
to the increase in revenues offset by increased operating expenses; and
(iii) net loss per share is expected to be approximately two-tenths less.
