        Brief description of transaction: On June 5, 1996, 5,000 common shares
were issued pursuant to an option exercise at $5.00 per share. On June 14,
1996, the company issued a 5% common stock dividend to shareholders of record
on June 4, 1996. On June 28, 1996 the company issued 60,000 common shares in
accordance with the terms of an agreement entered into by the company in June,
1995.
