         The registrant could not file its annual report on Form 10-K for the
year ended June 30, 1998 on the prescribed filing date for the following
reasons:

               The Company and its independent auditors have not been able to
         compile and complete the audit of the financial data necessary to
         complete the Company's financial statements by September 28, 1998, the
         required filing date for the Company's annual report on Form 10-K,
         without unreasonable effort and expense.

         (3)  Is it anticipated that any significant change in results of
operations from the corresponding period for the last fiscal year will be
reflected by the earnings statements to be included in the subject report or
portion thereof?

              The Company anticipates that it will formally report a net
         loss for the year ended June 30, 1998 of $499,277 as compared to a net
         loss of $2,179,489 for the year ended June 30, 1997. For the quarter
         ended June 30, 1998, the Company anticipates reporting a net loss of
         $807,524 as compared to a net loss of $1,649,086 for the quarter ended
         June 30, 1997. Included in the net loss for the fiscal 1998 annual and
         fourth quarter is a $900,000 charge for purchased research and
         development related to the acquisition of certain patented technologies
         in the fourth quarter of fiscal 1998. The registrant previously
         announced these earnings results in its earnings release dated August
         20, 1998.

         Criticare Systems, Inc. has caused this notification to be signed on
