State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period. The Company filed for protection under Chapter 11 of
the United States Bankruptcy Code on Friday November 6, 1998. The Company's
certified public accountants were just recently ratified by the Bankruptcy
Court. Consequently the process of performing this quarterly review has only
just begun, and it is anticipated that the additional time will be required for
its completion.
