The Company is unable to file the Quarterly Report on Form 10-QSB (the
"Form 10-QSB") for the nine months ended September 30 1996 primarily as a result
of the difficulties being experienced in connection with the Company's
transition to a new management information system during the period, which
difficulties delayed the preparation and completion of the supporting schedules
and other documentation necessary to finalize the Form 10-QSB. SEC 1344 (6/94)

The Company's operating loss for the nine months in 1996 was
approximately $1,250,000 as compared to a profit from operations of
approximately $33,000 for the same period in 1995. This reflects a decrease
in the sales of the Company's Datacomputers, due primarily to a delay in the
penetration of the Bakery market awaiting completion of installation and
training at several Bakery customers.
The Company's operation loss for the twelve months of 1995 was
approximately $1,168,200. The Company expects minor changes in results of
operation for the same period in 1996.
