PART III - Narrative
State below in reasonable detail the reasons why Form 10-K and Form 10-KSB,
20-F, 11-K, 10-Q and Form 10-QSB, N-SAR or transition report or portion thereof
could not be filed within the prescribed time period.
The Company hereby requests an extension to the filing for the
Company's Report on Form 10-KSB for the fiscal year ended September 30, 1998.
Temporary working capital constraints prevented the Company from having its
independent accountants begin the year end audit for Fiscal 1998 until mid
December 1998. The audit is scheduled to be completed within 10 days from the
date hereof and upoin its completion, the Company will be in a position to
finalize the 10-KSB. Accordingly, a full and accurate report could not be filed
by December 29, 1998 without unreasonable expense or effort.
