AMENDMENT NO. 11 TO SCHEDULE 14D-1
This Amendment No. 11 amends the Tender Offer Statement on Schedule
14D-1 filed with the Commission on October 17, 1996 by Raleigh Capital
Associates L.P., a Delaware limited partnership (the "Purchaser"), as amended
by Amendment Nos. 1, 2, 3, 4, 5, 6, 7, 8, 9 and 10 thereto (the "Schedule
14D-1"), relating to the tender offer by the Purchaser to purchase up to
100,000 of the outstanding limited partnership interests and assignee interests
therein ("Units") of Arvida/JMB Partners, L.P., a Delaware limited partnership
(the "Partnership"), at a purchase price of $500 per Unit (the "Purchase
Price"), less the amount of any distributions declared or made with respect to
the Units between October 17, 1996 (the "Offer Date") and the date of payment
of the Purchase Price by the Purchaser, net to the seller in cash, without
interest, upon the terms set forth in the Offer to Purchase dated October 17,
1996 (the "Offer to Purchase") and in the related Letter of Transmittal, as
each has been or may be supplemented or amended from time to time (which
together constitute the "Offer"), to include the information set forth below.
Terms not otherwise defined herein shall have the meaning ascribed to them in
the Schedule 14D-1 and the Offer to Purchase.

FOR IMMEDIATE RELEASE .... RALEIGH EXTENDS TENDER OFFER
Raleigh Capital Associates L.P. has extended the expiration date of its
offer to purchase up to approximately 22% of the outstanding limited
partnership interests and assignee interests therein of Arvida/JMB Partners,
L.P. at $500 per interest until 12:00 Midnight, New York City time, on Friday,
April 11, 1997. Approximately 31,222.78 Units had been deposited pursuant to
Raleigh's offer as of the close of business on March 11, 1997.
Raleigh's decision to extend the closing of its tender offer is the
result of continued uncertainty arising from the efforts of the General Partner
to deny voting rights to all unitholders other than those who acquired units in
the 1987 original public offering. Although Raleigh believes that all
unitholders have voting rights, Raleigh has determined to extend the closing of
its offer at this time. A hearing on the issue of voting rights is scheduled
to be held in the Delaware Chancery Court on April 7th, 8th and 9th.

Dear Unitholder:
Raleigh has extended the closing date of its $500 offer to purchase
your Units in Arvida/JMB Partners, L.P. until April 11, 1997. Our decision to
extend the offer is the result of continued uncertainty arising from litigation
initiated by the General Partner in which it has sought a declaratory judgment
the effect of which would deny voting rights to all unitholders other than
those who acquired units in the 1987 original public offering. Raleigh
strongly believes that all unitholders have voting rights and that this is a
blatant attempt by the General Partner to disenfranchise unitholders and
further entrench itself.
Raleigh believes that the General Partner's position is without
merit and intends to continue to vigorously oppose the General Partner on this
issue. In that regard, Raleigh recently filed a counterclaim against the
General Partner seeking a declaratory judgment that Raleigh, as well as all
other unitholders, have voting rights. A hearing on the issue of voting rights
is scheduled to be held in the Delaware Chancery Court on April 7th, 8th and
9th.
Although Raleigh believes that all unitholders have voting rights,
we are forced to extend again the expiration of our offer pending resolution of
the issue. Accordingly, the offer has been extended until 12:00 midnight on
Friday, April 11, 1997.
To tender your Units, send a completed and executed copy of the
Letter of Transmittal, a copy of which is enclosed, and any documents required
