This Amendment No. 9, amends and supplements information in Item 4 and
Item 5.
ITEM 4. PURPOSE OF TRANSACTION
The reporting persons intend to be passive holders of the securities of the
issuer. As such, the securities of the issuer acquired and held by the
reporting persons will be held in the ordinary course of business and not for
the purpose of changing or influencing the control of the issuer of such
securities.
ITEM 5. INTEREST IN SECURITIES OF THE ISSUER
(a) The Fund's Notice of Annual Meeting, dated April
6, 2000, states that, as of the close of business on February 29, 2000,
there were 4,383,660 shares of Common Stock outstanding. The percentage
set forth in this Item 5(a) was derived using such number.
The Reporting Persons are the beneficial owners of
1,654,953 shares of Common Stock, which constitute approximately 37.8%
of the outstanding shares of Common Stock.
