Pursuant to Rule 477 under the Securities Act of 1933, as amended, the
undersigned Registrant hereby applies for withdrawal of its Registration
Statement (the "Registration Statement") on Form S-3 (No. 33-60066), which was
originally filed with the Securities and Exchange Commission on March 26, 1993
and declared effective on April 6, 1993.
The Registrant has issued $150 million aggregate principal amount of
debt securities pursuant to the Registration Statement out of the $200 million
of debt securities originally registered thereunder. The Registrant became a
majority-owned subsidiary of Rockwell International Corporation, a Delaware
corporation, on December 7, 1994. As a result, the Registrant will not issue
any securities pursuant to the Registration Statement in the future.
