SUPPLEMENT TO PROSPECTUS DATED MAY 1, 1996
Effective June 1, 1996, the portfolio manager for the Small Cap Portfolio
of the Enterprise Accumulation Trust has been changed to GAMCO Investors, Inc.
("GAMCO"). Contractholders who have cash values allocated to the Small Cap
subaccount will receive a proxy statement shortly requesting their voting
instructions concerning this change. GAMCO's predecessor, Gabelli & Company,
Inc., was founded in 1977 by Mario J. Gabelli who has served as its chief
investment officer since inception. He will be responsible for the day-to-day
management of the Portfolio and has more than 30 years of experience in the
investment industry.

SUPPLEMENT TO PROSPECTUS DATED MAY 1, 1996
The following information supplements and supersedes any contrary information in
the section of the Prospectus entitled "Management of the Fund".
Effective June 1, 1996, GAMCO Investors, Inc. ("GAMCO") will serve as
Portfolio Manager of the Small Cap Portfolio. Shareholders will be solicited to
approve the Board of Trustees' appointment of the firm. GAMCO's offices are
located at One Corporate Center, Rye, New York 10588. GAMCO is a majority-owned
subsidiary of Gabelli Funds, Inc. GAMCO's predecessor, Gabelli & Company, Inc.,
was founded in 1977 by Mario J. Gabelli who has served as its chief investment
officer since inception. He will be responsible for the day-to-day management of
the Portfolio and has more than 30 years of experience in the investment
industry. Representative clients include: AT&T, Halliburton Co., and ITT Corp.
As of March 31, 1996, total assets under management for all clients were $5.1
billion. Usual investment minimum is $1 million.
