prescribed time period.
The Annual Report on Form 10-K of PaineWebber Equity Partners Three Limited
Partnership (the `Registrant'') will not be completed by June 29, 1995, the
last day for a timely filing of such Annual Report for the period ended March
31, 1995.
Additional time is required in order to enable the Registrant to file a complete
and accurate report. The Form 10-K will be filed on or before July 14, 1995, in
accordance with Rule 12b-25(b).
