Dear Fellow Shareholders:

         I am writing in order to update you with regard to an organizational
change that currently is under way at Delphi Information Systems, Inc.  At the
end of this month, Denis Connaghan, Delphi's President and Chief Executive
Officer, will be leaving the company to pursue other interests.  Denis will
continue as a Director and consultant to Delphi.

         During the past two years, Denis has dramatically restructured Delphi,
with substantial changes in every key area.  Today, Delphi has a group of
capable employees that are able to maintain Delphi's role as the leading
provider of software to insurance brokerages.  Also, as the result of recent
capital raising, Delphi has its strongest balance sheet in some time.  Denis has
made a vital contribution to Delphi, and we are all appreciative of his efforts
and success.
