As a result of the departure of our Chief Financial Officer and the addition of
new accounting personnel, the Company experienced a delay in preparing the
quartly report.

The Registrant's revenues for the six-month period ended July 31, 1999 were
$25,081,000, as compared to revenues of approximately $31,068,000 for the
six-month period ended July 31, 2000. The Registrant's net loss of income for
the six-month period ended July 31, 1999 was $(1,079,000), as compared to a net
loss of approximately $(3,756,000) for the six-month period ended July 31, 2000.
Revenue increased mainly as a result of higher revenues from commission and
asset management activities. Net losses increased due to increases in marketing
and promotional activities, higher commission expenses due to additional
staffing, higher arbitration expenses, increased professional fees, increased
business development costs and other increased operating costs.
