As a result of the recent departure of our Chief Financial Officer, the Company
experienced a delay in coordinating its annual report.

The Registrant's revenues for the quarterly period ended April 30, 1999 were
$12,749,000, as compared to revenues of $21,377,000 for the quarterly period
ended April 30, 2000. The Registrant's net income for the quarterly period ended
April 30, 1999 was $617,000, as compared to a net loss of $1,312,000 for the
quarterly period ended April 30, 2000. Revenues in the latest period benefited
from a sharp increase in commission income. The decline in profitability in the
latest period was primarily attributable to start-up and promotional expenses at
EarlyBirdCapital.com, the company's electronic investment bank, as well as an
unusual level of trading losses at GKN Securities, during the turbulent market
environment.
