Ladies and Gentlemen:
Please withdraw Post-Effective Amendment No. 7, filed on Form N-4, which was
filed via EDGAR, and accepted on February 29, 1996.
This filing has the following accession number: 0000814848-96-000007.
The reason we are requesting withdrawal of this filing is that a later filing
was made, via EDGAR, which made corrections to certain errors that an SEC
technician, Ms. Velma Smith, advised us were present in this filing.
As background, our company is not on CompuServe at this point in time. This
complicated our attempts to make error checks on our filings. When we contacted
EDGAR Filer Support, and spoke with Ms. Smith, she first suggested we send test
filings, so that she could advise us of errors and/or warnings. After two test
filings, on February 29th, she indicated we should send "live" filings for the
balance of our filings, and that we could work from there. The balance of our
filings were sent "live". On the filing that is the subject of this
correspondence, Ms. Smith advised there were several warnings, due to duplicate
tags that had been used. We removed the duplicate tags, and Ms. Smith advised us
to resend the final document "live". We resent the filing "live," and that
document is Post-Effective Amendment No. 7, filed on Form N-4, and accepted on
March 1, 1996, with an accession number of 0000814848-96-000008. This is the
document that we intend will go effective on May 1st.
The registrant requests withdrawal, pursuant to Rule 477(a) under the Securities
Act of 1933, of Post-Effective Amendment No. 7, accession number
0000814848-96-000007, filed and accepted on February 29, 1996.
