PART III - NARRATIVE.

State below in reasonable detail the reasons why Form 10-K and Form 10-KSB,
20-F, 11-K, 10-Q and Form 10-QSB, N-SAR, or the transition report or portion
thereof could not be filed within the prescribed period.

Registrant began an acquisition near year end and completed it during the first
quarter of 2000. The acquisition resulted in a change of management. For these
reasons, Registrant has been unable to compile the required financial
information into such a format so as to allow for review and completion by
senior management and its current auditors prior to a more timely filing.
