ITEM 4. CHANGES IN REGISTRANT'S CERTIFYING ACCOUNTANTS.
A. PREVIOUS INDEPENDENT ACCOUNTANTS
Price Waterhouse LLP were previously the independent accountants for
Biodynamics International, Inc. (the "Company"). On September 20, 1996, the
Company dismissed Price Waterhouse LLP as its independent accountants. The
decision to change accountants was approved by the Board of Directors.
The reports of Price Waterhouse LLP on the consolidated financial statements
for the past two fiscal years contained no adverse opinion or disclaimer of
opinion, and were not qualified or modified as to uncertainty, audit scope or
accounting principles.
In connection with the audits for the two most recent fiscal years and through
September 20, 1996, there were no disagreements with Price Waterhouse LLP on
any matter of accounting principles or practices, financial statement
disclosure, or auditing scope or procedures, which disagreements if not
resolved to the satisfaction of Price Waterhouse LLP would have caused them to
make reference thereto in their report on the financial statements for such
years.
The Registrant has requested Price Waterhouse LLP to furnish it with a letter
addressed to the Securities and Exchange Commission stating whether or not it
agrees with the above statements. A copy of such letter, dated September 20,
1996, is filed as an exhibit to this Form 8-K.
B. NEW INDEPENDENT ACCOUNTANTS
The firm of Deloitte & Touche LLP has been selected as independent accountants.
During the two most recent fiscal years and through September 20, 1996, the
Registrant has not consulted with Deloitte & Touche LLP on items which (1) were
or should have been subject to SAS 50 or (2) concerned the subject matter of a
disagreement or reportable event with the former auditor, (as described in
Regulation S-K Item 304(a)(2)).
