State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period. (Attach Extra Sheets if Needed)
Biodynamics International, Inc. respectfully requests an extension for the
filing of its annual 10-KSB. The Company has recently completed a financial
restructuring as set forth in its information statement and as approved at its
Special Meeting of Shareholders on November 10, 1997.
Additionally, the Company has had significant turnover in its accounting and
financial departments including three Chief Financial Officers and three
Accounting Managers during the past year.
The Company also relocated its Corporate Offices from Tampa, Florida to
Parsippany, New Jersey in April of 1997 and is still attempting to restructure
many of the records that were transferred during this move.

Although the Company anticipates the loss to materially exceed the loss
sustained for the fiscal year ended September 30, 1996, because of the reasons
set forth in Attachment A, it is unable to quantify the loss at this time.
