Part III-Narrative
Stated below in reasonable detail are the reasons why Form 10-Q
could not be filed within the prescribed time period.
On July 2, 1996, the Registrant disposed of its medical
software division. The resolution of the accounting issues
associated with the disposal of the medical software division
and the consolidation of the accounting for the four entities
during the fiscal year has caused delay in completing the annual
audit accounting and consolidation of the financial results of
the acquired entities.

15(d) of the Securities Exchange Act of 1934 or Section 20 of the
Investment Company Act of 1940 during the preceding 12 months (or
for such shorter period that the registrant was required to file
such reports) have been filed.
(3) It is anticipated that significant changes in results of
operations from the corresponding period will be reflected by the
earnings statements to be included in the subject report or
portions thereof as described below:
The Company has experienced a significant increase in costs and
continueing revenue growth in the fiscal year ended June 30, 1996.
As a result, when compared with operations for the previous year,
the operations for the current fiscal year will show increased
revenues and decreased net earnings. Including the effects
of the acquisition of Medical Computer Management, Inc. which was
treated as a pooling of assets for tax accounting purposes, net
revenues and income before income taxes were $32,539,715 and $776,026
respectively for the year ended June 30, 1995 compared to
estimated net revenues and loss before income taxes of approximately
$44,000,000 and a significant loss for the year ended June 30, 1996.
