Stated below in reasonable detail are the reasons why Form 10-Q
could not be filed within the prescribed time period.
The Registrant's completion of three acquisitions within the
past three months has caused delays in completing the quarterly
accounting and consolidation of the financial results of the
acquired entities.

(3) It is anticipated that significant changes in results of
operations from the corresponding period will be reflected by the
earnings statements to be included in the subject report or
portions thereof as described below:
The Company has experienced significant revenue growth through
increased internal sales and acquisitions in the 12 month period
ended March 31, 1996. As a result, when compared with operations
for the three and nine months ended March 31, 1995, the operations
for the three and nine months ended March 31, 1996 will show
increased revenues and decreased net earnings. Including the effects
of the acquisition of Medical Computer Management, Inc. which was
treated as a pooling of assets for tax accounting purposes, net
revenues and income before income taxes were $9,375,185 and $719,363
respectively for the three months ended March 31, 1995 compared to
estimated net revenues and loss before income taxes of approximately
$10,500,000 and ($2,000,000) for three months ended March 31, 1996. For
the nine months ended March 31, 1995, net revenues and income before
income taxes was $22,618,690 and $1,640,427 respectively compared to
estimated net revenues and loss before income taxes of
approximately $34,300,000 and $1,300,000 for nine months ended
March 31, 1996). In the 12 month period ending March 31, 1996,
the Company's operations have changed significantly because of the
effects of several entities acquired during that period.
