Effective June 1, 1996, Walnut Street Securities replaces North American
Management as the principal underwriter for the contracts. The contracts
are sold by individuals who, in addition to being licensed as insurance
agents for Midland National Life, are also registered representatives of
Walnut Street Securities (WSS), the principal underwriter of the contracts,
or of broker-dealers which have entered into written sales agreements with
WSS. WSS is registered with the SEC as a broker-dealer under the Securities
Exchange Act of 1934 and is a member of the National Association of Securities
Dealers Inc. The "Midland's Sales and Other Agreements" and "Notes to Financial
Statements-Organization and Significant Accounting Principles" sections of the
Prospectus are hereby amended to reflect this change in principal underwriter
for the contracts.
