Attachment I
The Registrant is seeking an extension of the period in which to file
its Form 10-KSB for the year ended February 28, 1999 for the following reasons:
(1) The Registrant retained its independent accountants on May 12, 1999; and (2)
the consolidation of appropriate financial and accounting information has
extended beyond the Registrant's original expectations. These events resulted in
a delay in the completion of the Registrant's Financial Statements and other
portions of the Form 10-KSB. The Registrant is currently in the process of
completing the remaining portions of the Form 10-KSB, and anticipates that the
Form 10-KSB will be filed within the grace period provided for under Rule
12b-25.

The Registrant estimates that its loss from operations for the year
ended February 28, 1999 will be approximately $1.8 million as compared with a
loss from operations of approximately $700,000 for the prior fiscal year.
