Item 5.  Other Events.
- ------                

General Note:

In September 1996, FCC National Bank began to assess a daily periodic charge to 
the related daily balance owing on a particular account. Under this calculation 
method, the actual number of days in a billing cycle determines the total amount
of finance charges billed for an account for such cycle. Prior to this change, 
the actual number of days in any billing cycle was not relevant to the amount 
billed since finance charges were computed and billed based on a monthly 
periodic charge applied to the average daily balance during the billing period.

The Finance Charge Collections included in Portfolio Yield for the April Due 
Period are based on the account billing cycle ending in March 1997. The March 
1997 billing cycle was comprised of only 28 days, whereas other billing cycles 
are generally 30 or 31 days long. The Portfolio Yield for the April Due Period 
would have been higher by approximately 105 basis points assuming the March 1997
billing cycle was two days longer.
