Perrigo Company (the "Company") converted its database to a new software system
and began using the system in the first quarter of fiscal year 1999. Due to
the start-up time associated with this conversion, the Company believes that
the timeframe of the extension period is necessary to ensure that all financial
information is reviewed and properly stated.
