The Rangaire Corporation, a Texas corporation (the "Corporation") established
an Employee Stock Ownership Plan (the "Plan"), effective August 1, 1975, and
has amended the Plan six times through August 1, 1985. The Rangaire
Corporation was acquired by Scottish Heritable, Inc. a Virginia corporation,
who now administers said Plan. Said Plan contains Scottish Heritable common
stock but has not been amended to reflect the new corporate name. The Plan
and Trust shall be construed and interpreted in accordance with the Laws of
the Commonwealth of Virginia.
