State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be
filed within the prescribed time period.  (Attach Extra Sheets If Needed)

    Management's time has been occupied evaluating the positioning of the
    Company's current and future products and developing a new business
    plan in line with the Company's available and expected resources.
    With recent downsizing of administrative personnel, management did 
    not have the ability to complete the report in a timely fashion.

(3) Is it anticipated that any significant change in results of operations 
    from the corresponding period for the last fiscal year will be reflected
    by the earnings statements to be included in the subject report or

    If so, attach an explanation of the anticipated change, both narratively
    and quantitatively, and, if appropriate, state the reasons why a 
    reasonable estimate of the results cannot be made.

         Based upon preliminary numbers, sales for the 3 and 6 months ended
         December 31, 1997 ($3,081 and $3,481) were less than the 
         corresponding periods of 1996 ($16,043 and $25,928). Operating
         losses for the 3 and 6 month periods ended December 31, 1997
         ($287,336 and $543,550, respectively) were less than the operating 
         losses for the comparable periods of 1996 $359,015 and $670,007, 
         respectively).  This was a result of downsizing. For the near term 
         the Company's ability to continue its operations and activities is
         dependent upon the Company's major shareholder providing funds to
         the Company as he has done in the past.
