The Company has not been able to develop the requisite
financial data and other narrative information necessary to
enable it to have sufficient time to complete the Company's
Quarterly Report of Form 10-Q by August 15, 2000, the
required filing date, without unreasonable effort and
expense.

The company for the three months and six months ended
June 30, 2000 expects to report net income (loss) of
approximately $(1.1) million and $10.7 million,
respectively. This is in comparison to the same
periods in 1999, in which we experienced net losses of
approximately $7.7 million and $15.1 million,
respectively. The increase in net income is due
predominately to the increase in oil and gas prices and
extraordinary income of 14.0 million in relation to
early extinguish of debt in the first quarter of 2000.
