addition of the following information under the caption "SELLING
STOCKHOLDERS" therein.
N&M Holding, N.V. has informed the Company that on March 6, 1995 it sold
all of the 5,066,352 Shares owned by it to a single purchaser, in New York,
in a negotiated off-exchange transaction at a sale price of $7.48 per
share.
Dedicated Holdings Ltd. has informed the Company that on March 9, 1995 it
sold all of the 6,734 Shares owned by it in a brokered transaction on the
Midwest Stock Exchange.
Financial Investments Ltd. has informed the Company that on March 9, 1995
it sold 4,698 of the Shares owned by it in a brokered transaction on the
Midwest Stock Exchange.
Life Line Investments Ltd. has informed the Company that on March 9, 1995
it sold 1,988,568 of the Shares owned by it in a brokered transaction on
