Item 5. Other Events.
On March 1, 1994, Shawmut National Corporation
("Shawmut") filed with the Board of Governors of the Federal
Reserve System (the "Board") a petition seeking reconsideration of
the Board's November 15, 1993 decision not to approve Shawmut's
application to acquire all of the outstanding voting shares of New
Dartmouth Bank, and a request for approval of such application.
