A-9, A-R and A-RL Multi-Class Mortgage Pass-Through Certificates, Series 1996-1
and Class B-1, B-2, B-3, B-4, B-5 and B-6 Multi-Class Mortgage Pass-Through
Certificates, Series 1996-1, the Registrant has filed with the Securities and
Exchange Commission (the "Commission") a Registration Statement on Form S-3
(file no. 33-68724). With respect to each series of the securities registered
hereunder, the Registrant has filed with the Commission pursuant to Rule
424(b) under the Securities Act of 1933, as amended, the final form of the
prospectus relating to the initial offering of such securities, which
includes a description of such securities. Such prospectus is hereby
