State below in reasonable detail the reasons why Form 10-K and Form 10-KSB,

portion thereof could not be filed within the prescribed period.

     The closing of the Company's books have been delayed due to the
     sale of one of the Company's subsidiaries and also due to the
     closure of the Company's Las Vegas operation.

          The Company sustained a significant net loss of $2,090,000
          versus $178,000 from prior year due to the closure of its Las
          Vegas operation.

Gentlemen:

We have been informed by the Company that closing of the books has been
delayed.  We therefore anticipate that the audit of the consolidated financial
statements of Good Times Restaurants Inc. will not be able to be completed by
the required filing date of December 29, 1995 without unreasonable cost and
effort.
