SUPPLEMENT TO THE CURRENT PROSPECTUS AND
STATEMENT OF ADDITIONAL INFORMATION
OF
KEYSTONE AMERICA GLOBAL OPPORTUNITIES FUND
(THE "FUND")
The Fund's Board of Trustees has approved a change in the Fund's name to
"Keystone Global Opportunities Fund", effective May 1, 1995.
In addition, the name of the Fund's investment adviser and certain of its
adviser's affiliates will also be changed, effective May 1, 1995. The name of
the Fund's investment adviser will become "Keystone Investment Management
Company", the name of its principal underwriter will become "Keystone Investment
Distributors Company" and the name of their parent company will become "Keystone
Investments, Inc."
Finally, the Fund's Shareholders have approved an amendment to the Fund's
Subadvisory Agreement ("Subadvisory Agreement") between Keystone Investment
Management Company ("Keystone") and Credit Lyonnais International Asset
Management (North America) ("CLIAM"), under which CLIAM provides investment
advisory services to the Fund's non-North American portfolio. The amendment
provides for a revision of the fee schedule pursuant to which CLIAM is paid for
its subadvisory services to the Fund. Accordingly, effective June 1, 1995, for
its services to the Fund Keystone will pay CLIAM quarterly, in arrears, 50% of
the management fee it receives from the Fund on Fund assets of up to
$250,000,000 and 30% of the management fee on Fund assets in excess of
$250,000,000. The Fund has no responsibility to pay CLIAM's fee.
