be filed without unreasonable effort or expense and, as a result, the Registrant
seeks relief pursuant to Rule 12b-25 (b).
Management of the Registrant anticipates the filing of the Form 10-Q on or about
September 15, 2000.

The Company expects to report losses for the quarter ended
July 31, 2000 approximating $33.5 million, including $25.0
million of charges resulting from settlement of litigation
with SIRIT Technologies, Inc., and $4.9 million of charges
relating to preferred stock transactions.
