A review of the Company's books and records for the third quarter of 1999 has
not yet been completed at this date. At the present time, the Company estimates
that it incurred a net loss in excess of $65 million in the third quarter of
1999, compared to net loss of $40 million in the third quarter of 1998. The
principal reason for the 1999 third quarter loss are losses resulting from the
discontinuation of the mortgage business segment consisting of Harbor Financial
Group, Inc. and its subsidiaries and FC Capital Corp. As previously announced,
Harbor Financial Group, inc. and its subsidiaries filed for bankruptcy
protection on October 14, 1999. The Company also previously announced it is
pursuing a sale or other disposition of its interest in FC Capital Corp.

    General Rules and Regulations under the Act.  The information contained in

    Commission files.

    the registrant is registered.
