                       INVESCO TREASURER'S SERIES TRUST 
              Supplement to Statement of Additional Information
                             Dated May 1, 1996

The  section  of  the  Trust's  Statement  of  Additional  Information  entitled
"Officers  and  Trustees"  is hereby  amended to (1)  delete the second  through
thirteenth  paragraphs  and (2) substitute the following new paragraphs in their
place:

            CHARLES W. BRADY,*+ Chairman of the Board of Trustees.
      Chief Executive Officer and Director of INVESCO PLC, London,
      England, and of subsidiaries thereof.  Chairman of the Board of the
      INVESCO Advisor Funds,  Inc., and The Global Health Sciences

            VICTOR  L.  ANDREWS,**  Trustee.  Professor  Emeritus,

            GEORGE S. ROBINSON, JR.,+ President.  President of the
      Trust since its inception.  Since January 1, 1987, Mr. Robinson has
      been an employee of the Adviser and of the Distributor.  From
      August 1986 through December 1987 he was a Vice President of
      Citicorp Investment Bank.  For more than five years prior to that
      time, Mr. Robinson served in various capacities in the securities
      industry including that of Investment Officer of Colonial Life and

            TONY D.  GREEN,  Treasurer.  Mr.  Green has  served as
      Treasurer  since July 1995.  He has served as Treasurer  and

      has also served as Senior Vice President of INVESCO Services
      since July 1993.  Secretary since April 1995.  Prior to joining
      INVESCO, he was Principal for Mutual Fund Operations at Edward

The eighth  paragraph  of the section of the  Trust's  Statement  of  Additional
Information  entitled  "Officers  and  Trustees  -  Trustee  Compensation"  (the
paragraph  immediately  following  footnote  5) is  hereby  amended  to  read as
follows:

            Messrs.  Brady and Harris, as "interested  persons" of the Trust and
      other funds in the INVESCO  Complex,  receive  compensation as officers or
      employees of INVESCO or its affiliated  companies,  and do not receive any
      trustee's fees or other  compensation from the Trust or other funds in the
      INVESCO Complex for their services as trustees. Because of the possibility
      that A.D.  Frazier,  Jr. may become employed by a company  affiliated with
      INVESCO at some point in the  future,  he was deemed to be an  "interested
      person"  of the  Trust  and of the  other  funds  in the  INVESCO  Complex
      effective May 1, 1996. Until such time as Mr. Frazier actually becomes

      employed by an  INVESCO-affiliated  company,  however, he will continue to
      receive  the same  trustee's  fees and other  compensation  as the Trust's
      independent trustees.
