       This Rule 13e-3 Transaction Statement (the "Statement") relates to a
tender offer by ARV Assisted Living, Inc., a California corporation (the
"Company"), to purchase up to 3,715 of the limited partnership units (the
"Units") of American Retirement Villas Properties II, a California limited
partnership (the "Partnership"), at $720 per Unit, less second quarter
distributions, net to the seller in cash and without interest, upon the terms
of and subject to the conditions set forth in the Offer to Purchase, dated July
26, 1996 (the "Offer to Purchase"), and in the related Letter of Transmittal
(which together constitute the "Offer").  This Statement is being filed by the
Company.

       The Offer expired at 5:00 p.m., Los Angeles, California time on Friday,
August 23, 1996.  The Company acquired 2,148.4 Units pursuant to the Offer,
bringing its total ownership to 17,777.3 Units (approximately 50.8% of the
outstanding Units).
