SUPPLEMENT DATED SEPTEMBER 9, 1996 TO
PROSPECTUS DATED DECEMBER 28, 1995
On July 10, 1996, the Board of Directors approved an expense cap of .70% of
net assets on the BEA High Yield Portfolio effective as of July 1, 1996. As a
result, BEA Associates will be waiving that portion of its advisory fees
necessary to maintain an expense ratio of .70%.
